Restoring Shareholder Transparency Act of 2022

Restoring Shareholder Transparency Act of 2022 This bill limits corporate shareholder proposals and revises proxy voting protocols for shareholders. Current shareholder proposal rules address who is eligible to submit shareholder proposals for a vote and the dissemination of information to voters through a proxy statement. Under the bill, a company is not required to comply with these shareholder proposal rules. Instead, a company may opt-in to these rules. The bill also revises these rules to require a shareholder hold at least 1% of the market value of the company's securities in order to submit a shareholder proposal. Under current rules, a shareholder's ability to submit a proposal depends upon the dollar amount of shares held and the length of time the shares have been held. It also revises these rules to provide that a company's allowed bases for exclusion of a proposal apply without regard to whether the proposal relates to a significant social policy issue. Under current guidance, a shareholder proposal may overcome a company's exclusion if the proposal is of social policy significance. Finally, the bill generally prohibits proxy voting advice furnished by a person who provides such advice for a fee.

A bill to address the importance of foreign affairs training in national security, and for other purposes.

This bill makes changes to the Foreign Service Institute and addresses other issues related to training Foreign Service and Department of State Civil Service personnel. The bill establishes within the institute (1) the Board of Visitors, which shall provide the State Department with advice and recommendations pertaining to the institute; and (2) the position of provost, which shall have duties such as overseeing and coordinating the institute's academic curriculum. The State Department may establish and implement an incentive program to encourage Foreign Service members with critical foreign language skills to maintain such skills. The bill also requires the State Department to expand its professional development and training, including by increasing offerings at partner organizations and offering courses using computer-based or computer-assisted simulations. The Foreign Service must (1) establish new fellowship programs for Foreign Service and Civil Service officers that include opportunities in certain organizations, such as think tanks and industry entities; and (2) report to Congress on how to expand certain existing fellowship programs to allow fellows in those programs to undertake follow-on State Department opportunities that will benefit from practical knowledge of the people and processes of Congress. The State Department must report to Congress on (1) offering certain training and professional development opportunities to congressional staff at State Department facilities, (2) a strategy for adapting and evolving training requirements to better meet current and future needs for 21st century diplomacy, and (3) a strategy for broadening and deepening training at the State Department.

A bill to establish the CCP Initiative program, and for other purposes.

This bill reestablishes an initiative related to China within the National Security Division of the Department of Justice (DOJ) and outlines the goals and requirements for this initiative. In 2022, DOJ ended a program named the China Initiative. This bill reestablishes and renames it the CCP Initiative to (1) counter nation-state threats to the United States; (2) curb spying by the Chinese Communist Party (CCP) on U.S. intellectual property and academic institutions; (3) identify and prosecute individuals engaged in trade secret theft, hacking, and economic espionage; and (4) protect U.S. critical infrastructure from foreign threats. DOJ must annually brief specified congressional committees on the progress and challenges of the initiative. The initiative terminates six years after enactment of this bill.

Stop Fentanyl Border Crossings Act

Stop Fentanyl Border Crossings Act This bill authorizes the Department of Health and Human Services (HHS) to restrict migration and imports from foreign countries to prevent the introduction of illicit drugs into the United States. Current law authorizes HHS to restrict migration and imports from foreign countries to prevent the introduction of communicable diseases. Under this bill, HHS may also restrict migration and imports from a country if HHS determines that the existence of substantial illicit drug smuggling from that country poses a risk to public health.

Military Spouse Hiring Act

Military Spouse Hiring Act This bill expands the Work Opportunity Tax Credit (WOTC) to include the hiring of a qualified military spouse. (The WOTC permits employers who hire individuals who are members of a targeted group such as qualified veterans, ex-felons, or long-term unemployment recipients to claim a tax credit equal to a portion of the wages paid to those individuals.) A qualified military spouse is any individual who is certified by the designated local agency as being (as of the hiring date) a spouse of a member of the Armed Forces.
