S 2231: 504 Modernization and Small Manufacturer Enhancement Act of 2021

504 Modernization and Small Manufacturer Enhancement Act of 2021 This bill modifies the Small Business Administration (SBA) 504 Loan Program, which provides a small business with SBA financing—through a certified development company (CDC) intermediary—for expansion or modernization. Specifically, the bill adds policy goals, at least one of which a CDC must demonstrate to be eligible for assistance. These include (1) enhancing the ability of a small business to reduce costs by using energy efficient products and generating renewable energy, and (2) aiding the revitalization of any area for which a disaster has been declared or determined. The bill also authorizes a CDC to take specified actions to facilitate the closing of a 504 loan, such as correcting borrower or lender information on loan documents or reallocating up to 10% of the cost of a project. For small manufacturers, the bill (1) increases the maximum loan amount from $5.5 million to $6.5 million, (2) reduces the amount that they must contribute to project costs, (3) increases job retention requirements, and (4) revises collateral requirements and debt refinancing considerations. Further, each SBA district office must partner with a resource partner to provide certain training for small manufacturers.

S 2294: Arctic Security Initiative Act of 2021

Arctic Security Initiative Act of 2021 This bill requires the Department of Defense (DOD) to conduct an assessment and implement a program related to national security interests in the Arctic region. Specifically, the Commander of the United States Northern Command of DOD must consult and coordinate with specified defense entities to conduct an independent assessment with respect to the activities and resources required for FY2023-FY2027 to achieve specified objectives related to national security interests in the Arctic region. The assessment must focus on the activities and resources required to achieve the following objectives: the implementation of the National Defense Strategy and military service-specific strategies with respect to the Arctic region; the maintenance or restoration of the comparative military advantage of the United States in response to great power competitors in the Arctic region; the reduction of the risk of executing operation and contingency plans of DOD; and to maximize execution of DOD operation and contingency plans, in the event deterrence fails. Additionally, DOD must establish the Arctic Security Initiative program to enhance security in the Arctic region, to be informed by the assessment required by this bill. DOD must annually submit an unclassified future years plan, which may include a classified annex, for the activities and resources of the program that includes specified elements (e.g., a detailed time line for achieving requirements). The plan must also be included in budget materials submitted by DOD in support of the budget of the President for FY2023.

S 2228: DISCOURSE Act

Disincentivizing Internet Service Censorship of Online Users and Restrictions on Speech and Expression Act or the DISCOURSE Act This bill limits federal liability protections for a user or provider of an interactive computer service (e.g., a social media company) related to content provided by third parties. It also requires a provider that offers its service through a mass-market offering to the public to disclose information about its content moderation activities. The bill removes liability protections (sometimes referred to as section 230 protection) for a provider with a dominant market share if the provider promotes or suppresses a viewpoint through its content moderation, including by affecting a content creator's revenue; uses automated processes (e.g., algorithms) to target and amplify content provided to a user who has not requested or searched for the content; or solicits, funds, modifies, or otherwise contributes to content. Currently, a provider retains liability protections even when it restricts access to materials that it considers objectionable. Under this bill, a provider retains protections if restricted materials fall, based on an objectively reasonable belief, into a prescribed list of harmful or unlawful categories. Additionally, the liability protections shall not apply to providers that (1) restrict access to content in a manner that burdens the exercise of religion, or (2) fail to comply with an existing requirement to notify customers of options for limiting a minor's access to harmful online content (e.g., parental controls). The bill also changes legal procedures related to the liability protections, including by specifying that the protection serves as an affirmative defense.

S 2184: A bill to amend the Sarbanes-Oxley Act of 2002 to institute a trading prohibition for certain issuers that retain public accounting firms that have not been subject to inspection by the Public Company Accounting Oversight Board, and for other purposes.

This bill revises provisions related to the required certification to the Securities and Exchange Commission by certain publicly traded companies that they are not owned or controlled by a foreign government. Under current law, a company must make this certification if the Public Company Accounting Oversight Board is unable to audit specified reports because the company has retained a foreign public accounting firm not subject to inspection by the board due to a position taken by an authority in that foreign jurisdiction. Under this bill, a company must submit this certification if a position taken by any foreign government (not only the foreign government in which the firm is located) prevents inspection of the firm. Furthermore, under current law, if the board is unable to inspect the company's public accounting firm for three consecutive years, the company's securities are banned from trade on a national exchange or through other methods. The bill reduces this time to two consecutive years.

S 1251: Growing Climate Solutions Act of 2021

Growing Climate Solutions Act of 2021 This bill authorizes the Department of Agriculture (USDA) to establish a voluntary Greenhouse Gas Technical Assistance Provider and Third-Party Verifier Certification Program to help reduce entry barriers into voluntary environmental credit markets for farmers, ranchers, and private forest landowners. A voluntary environmental credit market is a market through which agriculture and forestry credits may be bought or sold. Entities eligible to participate in the program are (1) providers of technical assistance to farmers, ranchers, or private forest landowners in carrying out sustainable land use management practices that prevent, reduce, or mitigate greenhouse gas emissions, or sequester carbon; or (2) third-party verifiers that conduct the verification of the processes described in the protocols for voluntary environmental credit markets. Among other requirements, USDA must publish (1) a list of protocols and qualifications for eligible entities; (2) information describing how entities may self-certify under the program; (3) information describing how entities may obtain the expertise to meet the protocols and qualifications; and (4) instructions and suggestions to assist farmers, ranchers, and private forest landowners in facilitating the development of agriculture or forestry credits and accessing voluntary environmental credit markets. HR 4141: Promotion and Expansion of Private Employee Ownership Act of 2021

Promotion and Expansion of Private Employee Ownership Act of 2021 This bill expands tax incentives and federal assistance for employee stock ownership plans (ESOPs) that are sponsored by S corporations. The bill provides additional tax incentives for ESOPs by (1) extending to all domestic corporations, including S corporations, provisions allowing deferral of tax on gain from the sale of employer securities to an ESOP; and (2) allowing a tax deduction for 50% of the interest received by a bank on loans to S corporation-sponsored ESOPs for the purchase of employer securities. The Department of the Treasury must establish the S Corporation Employee Ownership Assistance Office to foster increased employee ownership of S corporations. The bill defines an ESOP business concern for purposes of the Small Business Act as a business concern that was eligible for a loan, preference, or other program under such Act before more than 49% of the business concern was acquired by an ESOP.
