Business entities: limited liability companies.

Expanded the list of entities that may receive an LLC existence and authority certification to include 'any person or entity engaged in the business of title insurance, as defined in Section 12340.3 of the Insurance Code,' in addition to the previously listed licensed escrow agents, real estate brokers, and title insurance companies described in Section 12400.5.

Added explicit indirect reliance language in subdivision (e): a person whose interest may be affected by the certification may now rely 'directly or, through a person or entity described in subdivision (a) acting on the person's behalf in the transaction, indirectly' on the representations.

Extended the liability protection in subdivision (f) to cover indirect reliance: a person who acts in reliance 'whether directly or indirectly as described in subdivision (e)' without actual knowledge of incorrect representations is not liable for so acting.

Extended the enforceability provision in subdivision (f) so that transactions and liens entered into by a person acting in reliance 'whether directly or indirectly as described in subdivision (e)' are enforceable against LLC assets, subject to the existing exception for actual knowledge of out-of-scope authority.

Added new Corporations Code Section 17702.08 creating a certification of LLC existence and authority that an LLC may present to any person to establish its existence and identify authorized signers.

Any person may record the certification with the county recorder in any county where the related real property is located. The county recorder must impose a fee sufficient to cover reasonable recording costs, and the recorded certification becomes a public record of the real property.

The certification must confirm the LLC's legal name, jurisdiction of formation, date of filing, good standing status, list of authorized persons, and signature authority requirements (whether all or fewer than all signers must sign).

The certification must include a statement that the LLC's operating agreement or governance documents have not been revoked, modified, or amended in a way that would make the representations incorrect, and must be signed by ALL currently acting authorized signers.

A person who acts in reliance on the certification without actual knowledge that it is incorrect is not liable to any person for so acting, and may assume the facts are true without inquiry.

Any transaction and lien entered into by an LLC's authorized signer with a person relying on the certification is enforceable against LLC assets, unless the relying party has actual knowledge the signer is acting outside the scope of the operating agreement.

The no-reimbursement provision was expanded to add that local agencies or school districts have the authority to levy service charges, fees, or assessments sufficient to pay for the mandated program, in addition to the existing perjury-related justification.

The original Government Code Article 8 (reporting requirements for business entities) was renumbered from Section 1 to a later section number to accommodate the new Corporations Code section as Section 1.

Entirely removed a new Government Code section (12280) that would have required 'qualified entities' - corporations, foreign corporations, limited partnerships, general partnerships, LLCs, foreign LLCs, and trusts - to report business information to the Secretary of State under penalty of perjury. This eliminated a broad reporting mandate that applied across multiple entity types.

The bill's stated purpose was reduced from adding both a Government Code article on business entity reporting AND a Corporations Code section on LLC certifications, to only adding the single Corporations Code section. The legislative counsel's digest correspondingly dropped the 'Secretary of State: reporting requirements' language.

Narrowed who may receive an LLC existence and authority certification from 'any person' to specifically: licensed escrow agents (Financial Code Section 17200), licensed real estate brokers (Business and Professions Code Section 10015), and title insurance companies or underwritten title companies (Insurance Code Section 12400.5). This significantly limits the practical use of the certification to real estate and title transaction contexts.
