SB 1252 Virginia Senate · 2025 Regular Session

Financial institutions; loans and legal rate of interest.

Summary
Financial institutions; loans and legal rate of interest. Provides that for the purposes of provisions governing usury and the legal rate of interest, "make" or "making," when used in reference to a loan, means advancing, offering to advance, or making a commitment to advance funds to a borrower for a loan. The bill provides that the prohibition against a contract for the payment of interest on a loan at a rate that exceeds 12 percent per year applies to any person who seeks to evade its application by any device, subterfuge, or pretense whatsoever, including (i) making loans disguised as personal property sale and leaseback transactions; (ii) disguising loan proceeds as a cash rebate for the pretextual installment sale of goods or services; and (iii) making, offering, assisting, or arranging a debtor to obtain a loan with a greater rate of interest, consideration, or charge than permitted through any method, including mail, telephone, Internet, or any electronic means, regardless of whether the person has a physical location in the state.

MINOR
This bill finalizes the Senate's version of a law regulating financial institutions and loan practices. The primary change is a clarification in the definition of illegal lending, ensuring that loans with excessive interest rates are prohibited regardless of whether the legal rate is set by the current section or other referenced laws. This prevents lenders from bypassing interest rate caps by claiming a different statute applies.
Scope change
The scope of prohibited lending practices was broadened slightly to explicitly include loans governed by laws referenced in subsection B, ensuring no loopholes exist for high-interest loans.
DEFINITION

The definition of prohibited lending activity was updated to clarify that loans with excessive interest are illegal whether the rate limit comes from the current section or other referenced laws, removing ambiguity about which legal standard applies.

TECHNICAL

The bill's status was updated from a 'Senate Substitute' to 'Enrolled,' indicating it has passed all legislative stages and is ready for the governor's signature. A chapter title was also added to formally organize the act.
