HR 2066 United States House · 119th Congress

Investing in All of America Act of 2025

The Investing in All of America Act of 2025 amends the Small Business Investment Act of 1958 to adjust leverage rules for Small Business Investment Companies (SBICs), which provide capital to small businesses. It lowers the maximum allowable leverage ratio from 300% to 200% and expands eligible investments to include companies in rural areas, critical technology sectors, and small manufacturers. The bill caps excluded leverage at $125 million or 50% of a company’s private capital, whichever is lower, and requires annual inflation adjustments to these dollar amounts. These changes directly affect SBICs, private investment firms that support small business growth nationwide.

MODERATE
The engrossed version restructures SBI company leverage limits into a tiered system based on whether companies make quarterly or semiannual interest payments, raises several dollar caps, and removes an annual CPI inflation adjustment mechanism that would have kept the limits current with rising costs. The net effect is higher fixed leverage ceilings for certain company types but no built-in mechanism to adjust them over time.
FISCAL

Maximum leverage for SBI companies making quarterly or semiannual interest payments increased from $200 million to $250 million, and a new lower cap of $175 million was created for other companies licensed under section 301(c).

The commonly controlled company leverage cap was restructured: it is now $475 million for commonly controlled companies making quarterly or semiannual interest payments (up from a flat $350 million), while other commonly controlled companies remain capped at $350 million.

The annual CPI inflation adjustment provision was entirely removed. The introduced version would have adjusted the leverage dollar amounts each year based on changes in the Consumer Price Index, with an initial catch-up adjustment from 2015 or 2018 baselines. Without this, the stated dollar caps remain fixed indefinitely.

DEFINITION

The definition of private capital sources was slightly clarified by adding the word 'any' before 'college or university,' making explicit that foundations, endowments, and trusts of all colleges and universities qualify, not just a subset.
