Added a formal affidavit form that must be executed by the board president or chairperson, including a commitment to appoint a Nebraska resident director within six months if the corporation no longer meets waiver criteria.

Modified director qualification language by correcting grammatical errors and clarifying that at least one-fifth of directors must be independent (not officers or employees), and that all directors must have good moral character and relevant business knowledge.
